L’article signé du directeur de publication de l’organe pointe un doigt accusateur sur le fonctionnement de l’appareil judiciaire ivoirien et les associés de la société SNBV Holding.

Dans son droit de réponse dont nous publions l’intégralité pour vous, le conseil SCPA BOTO-OUPOH & Associés de SNBV Holding soutient que M. BADI Odjé n’est pas actionnaire dans cette société. Selon le conseil, M. Droit de réponse de la société SNBV HOLDING sa suite à l’article publié sur le site internet businessactuality.com le samedi 26 mars 2022, intitule « Bolle Kouadio Mathieu, frappé d’injustice »

En date du 26 mars 2022, dans un article intitulé « BOLLE KOUADIO MATHIEU, frappé d’injustice », BUSINESS & ACTUALITY a publié sur son site internet, d’une part, que la société SNBV HOLDING SA aurait évincé l’associé BOLLE MATHIEU KOUADIO de la société BOLLESTORE SARL, d’autre part, que cette HOLDING bénéficierait de privilèges de la part des autorités judiciaires ivoiriennes.

Conformément à l’article 55 de la loi numéro 2004–643 du 14 décembre 2004 portant régime juridique de la presse, la société SNBV HOLDING SA exerce son droit de réponse.

Courant 2015, monsieur BOLLE KOUADIO MATHIEU a été introduit auprès des actionnaires de la société SNBV SA devenue SNBV HOLDING SA, par le canal de

monsieur BALOU KOUAKOU Achille, lui-même actionnaire de ladite société.

Monsieur BOLLE KOUADIO MATHIEU qui exploitait l’entreprise individuelle

BOLLESTORE, couvait le projet d’ouvrir une boutique de revente des produits de la marque APPLE.

Des pourparlers contractuels, il est ressorti que l’entreprise individuelle BOLLESTORE ne bénéficiait d’aucune licence, d’aucun actif, mais cumulait une dette de dix millions (10 000 000) de FCFA.

La société SNBV HOLDING SA a refusé d’être associée à cette entreprise individuelle.

Pour matérialiser le projet d’ouverture d’une boutique, en toute sécurité juridique, la société SNBV HOLDING SA et monsieur BOLLE KOUADIO MATHIEU ont décidé de constituer une Société A Responsabilité Limitée (SARL) dénommée BOLLESTORE, au capital social de 50 000 000 FCFA avec pour associés, la société SNBV HOLDING SA (85 parts sociales) et monsieur BOLLE KOUADIO MATHIEU (15 parts sociales).

Ainsi, à l’exclusion de l’idée du projet précité, monsieur BOLLE KOUADIO MATHIEU n’a fait aucun apport en numéraire dans la société nouvellement créée.

Monsieur BOLLE KOUADIO MATHIEU a été nommé gérant de la société BOLLESTORE SARL moyennant une contrepartie financière mensuelle pour l’exécution de son mandat social, d’un million cinq cent mille (1 500 000) FCFA.

Suite à la constitution de la SARL BOLLESTORE et face à la pression des créanciers de son entreprise individuelle, monsieur BOLLE KOUADIO MATHIEU a sollicité et obtenu de la société SNBV HOLDING SA un prêt de dix millions (10 000 000) FCFA à l’effet d’apurer ses dettes; un prêt qu’il est incapable de rembourser à ce jour.

Monsieur BOLLE KOUADIO MATHIEU a également bénéficié de la mise à disposition d’un véhicule neuf de fonction et de nombreuses formations au plan international pour un montant total de cinquante millions (50 000 000) de FCFA.

Toutefois, la gestion de la société par monsieur BOLLE KOUADIO MATHIEU a été loin de rendre la société BOLLESTORE SARL florissante comme il le prétend, avec des chiffres d’affaires purement fictifs.

En effet, très vite, la société s’est retrouvée dans un besoin permanent en fonds de roulement extérieurs, inclinant la société SNBV HOLDING SA à faire appel à monsieur BADI Odjé, ès qualité d’expert financier, en vue de rechercher des financements au profit de la filiale BOLLESTORE et des autres filiales du groupe.

Monsieur BADI Odjé n’est donc pas actionnaire dans la société SNBV HOLDING SA, exclusivement constituée par des jeunes ivoiriens et n’a mis à la disposition de la HOLDING aucun réseau judiciaire. Au demeurant, monsieur BADI Odjé est retraité depuis le 31 décembre 2020.

Dans le cadre de l’analyse des pièces comptables de la société BOLLESTORE, il est apparu que pour l’achat de marchandises à l’étranger, monsieur BOLLE KOUADIO MATHIEU procédait à des virements de fonds importants de la société sur son compte personnel.

Qu’il s’est offert un véhicule de luxe et de nombreux voyages en classe affaires aux frais de BOLLESTORE SARL.

Pis, par les mêmes moyens, monsieur BOLLE KOUADIO MATHIEU s’est offert deux licences en son nom propre. Une licence de revendeur agrée Apple et une autre licence de Centre de service agrée (SAV).

‘’À ce jour, monsieur BOLLE KOUADIO MATHIEU qui crie à l’injustice, refuse de mettre à la disposition de l’expert judiciairement nommé, les pièces comptables, notamment les relevés bancaires des comptes de la société BOLLESTORE, nécessaires à la réalisation de ses missions.’’

La situation économique de la société BOLLESTORE SARL s’est naturellement dégradée au point où, elle cumule à ce jour des arriérés de loyers et de salaires.

Monsieur BOLLE KOUADIO MATHIEU aimablement invité depuis trois années à rendre compte de sa gestion à la société SNBV HOLDING SA, n’y a jamais donné de suite, se livrant plutôt à des manœuvres, qui ont fini par contraindre le représentant de la société SNBV HOLDING SA au sein de la société BOLLESTORE SARL à démissionner de ses fonctions de chargé des finances.

C’est dans ces circonstances que le 23 mars 2021, il a été assigné par devant le juge des référés du Tribunal du Commerce d’Abidjan, pour voir nommer un mandataire ad hoc, à l’effet, de convoquer une assemblée générale des associés et de procéder à une expertise de gestion de la société BOLLESTORE SARL.

Faisant droit auxdites demandes, la juridiction précitée a nommé un expert-comptable pour réaliser lesdites missions.

À ce jour, monsieur BOLLE KOUADIO MATHIEU qui crie à l’injustice, refuse de mettre à la disposition de l’expert judiciairement nommé, les pièces comptables, notamment les relevés bancaires des comptes de la société BOLLESTORE, nécessaires à la réalisation de ses missions.

Il est donc curieux, que monsieur BOLLE KOUADIO MATHIEU qui, manifestement résiste au contrôle de sa gestion, tienne pour filet de secours la victimisation, pour espérer une hypothétique sympathie en travestissant les faits.

La société SNBV HOLDING SA profite de la lucarne ouverte par monsieur BOLLE

KOUADIO MATHIEU à l’effet de l’inviter à bien vouloir se rapprocher de l’expert

nommé par les juridictions, et mettre à sa disposition, les actes justifiant l’usage des fonds de la SARL BOLLESTORE.

Dans cette attente, la gravité des accusations, au demeurant attentatoires à l’image de la société SNBV HOLDING SA justifie la saisine imminente des juridictions compétentes afin de permettre à monsieur BOLLE KOUADIO MATHIEU de rapporter la preuve des faits allégués dans son article.
